The agreement between your business and Automates PH for using POSmates. Written to be read rather than to be survived, because terms nobody reads protect nobody.
Three sections are worth your attention before the rest. Section 5 on payments, because POSmates records that you were paid and does not check it. Section 6 on deliveries, because the courier is not us and cash on delivery carries a real risk. Section 8 on what we do not promise.
1. Who this agreement is between
This is between AUTOMATESPH INFORMATION TECHNOLOGY SOLUTIONS, which operates POSmates, and you, the business using it in the Philippines. Creating an account and accepting these terms forms an electronic agreement under the Electronic Commerce Act of 2000 (Republic Act 8792).
If you are accepting on behalf of a company, you are confirming you are allowed to. You need to be old enough to enter a contract, which in the Philippines means 18.
2. What POSmates is
Software for running a shop: a point of sale, stock and ingredient tracking, staff time and payroll, your own digital menu, and, where you enable them, ordering through Messenger, booking deliveries, and Miggy, the assistant you can ask about your own shop in words instead of tapping through screens.
It is a tool, not an accountant and not a bookkeeper. It records what you and your staff put into it and calculates from that. It does not verify that what you entered is correct, and it does not file anything on your behalf. Your books, your tax and your statutory obligations remain yours.
That applies to Miggy as well, and more so. Miggy reads your own records back to you and helps you put things into the system, and it can be wrong: it can misread a photograph of a menu, it can mishear a voice note, and it can answer confidently about a number it has misunderstood. Check anything it enters before you rely on it, exactly as you would check a person who was new to your shop.
We improve the product continuously, which means features change. If we remove something you depend on, we will tell you before we do it rather than after.
3. Your account, your staff, your responsibility
You are responsible for what happens under your account. That includes everything your staff do with the access you give them.
- Keep your password to yourself. Staff PINs are how you tell one person's actions from another's, so a shared PIN destroys the only audit trail you have.
- Remove access for anyone who leaves, on the day they leave.
- Tell us promptly if you think someone has got into your account.
- Make sure what you enter is accurate. We calculate from it; we cannot check it.
Do not use POSmates to break the law, to record trade that you are hiding from an authority, to attack or overload the service, or to resell access to it as your own product.
If you connect a Facebook Page, you confirm that you manage that Page and may authorize POSmates to receive and reply to its messages. You remain responsible for what your shop sends, for customer notices and lawful messaging, and for removing access when your shop stops using the feature. We use the Page access only to provide the features you enable, subject to Meta’s platform rules.
4. Free, the trial, and paid plans
The free plan is free, with no card or fixed end date.It has limits on how many products, raw materials and staff you can hold, shown on the pricing page. A shop that has no sign-in for 30 days is paused. Signing in again resumes it. We warn you before the pause. Continued inactivity may lead to deletion after further warnings, as explained in our privacy policy.
Every new shop gets 7 days with the paid features switched on, with no card. On day 8 you move to the free plan. Your shop keeps trading: the till, payroll and Messenger orders continue to work while the shop is active. What stops is the paid extras. Ending the trial by itself does not delete your records. The inactivity rule above still applies.
Plans and prices are the ones shown on our pricing page when you subscribe. They are not restated here, because a price written into a terms page becomes a second source of truth and the two eventually disagree. If we change what you pay for a plan you are already on, we will tell you at least 30 days beforehand and you may cancel before it takes effect.
Some parts of a plan are charged per business and some per branch. The pricing page says which is which for each one.
5. Paying us, and being paid by your customers
What you pay us. Paid plans cover the period shown at checkout or on your invoice. You may pay each period manually. We will not automatically charge you unless you separately enroll in an available automatic payment method and authorize it. Payments made through a payment provider are handled by that provider; we do not store your full card number. Cancel any time and you keep the plan until the end of the paid period. We do not refund part-used periods unless the law requires it or we have got something wrong.
What your customers pay you is between you and them. This matters more than it sounds, so plainly: POSmates does not process your customers’ payments and does not hold your money. When you record a sale as cash, as a bank transfer or as a wallet payment, POSmates is recording that you say it happened. It is not confirming that money arrived, and it cannot. Checking that you were actually paid is your job, in your own bank or wallet app.
If a customer sends a screenshot as proof of payment, that screenshot is a picture. Treat it as a claim to be checked, not as a receipt.
6. Deliveries
An order can leave your shop three ways, and you choose which one per order: your customer collects it; a rider you have authorized delivers it using the shop login you gave them; or a courier booked through the app carries it.
We are not the courier and we do not carry anything. The shop or courier carrying an order is responsible for its delivery obligations. This does not remove any responsibility we have for the POSmates service under applicable law.
A booked courier provides its service under its own terms. Delivery claims should first be raised with that courier. The fare is quoted live and we never fix it: courier pricing moves with distance, traffic, driver supply and surcharges, so the price you see is the price at that moment. We do not add a commission to it and we do not take a share of what you sell.
A rider you engage is your responsibility, under the actual terms of your arrangement with that person. These are the parts of it the software touches:
- You decide and manage the working relationship.Where the rider is your employee, wages, statutory contributions, hours, rest days and insurance are your obligations. Other arrangements must also comply with the law. POSmates does not hire, supervise or pay your riders. A label in this agreement does not decide anyone’s legal employment status.
- What a drop pays is your number. You set each rider a daily rate, a fee on every drop they finish, or both. We never set it, never suggest what it should be, and never take any part of it. No money for a delivery passes through us.
- The payroll figures are ours to calculate and yours to check. The app adds up hours and delivery fees from what it was told and shows you a total. It is a calculator, not payroll advice and not a tax filing. What you actually pay, and whether it satisfies the law, is your decision before you hand the money over.
- We do not choose who takes a drop. A delivery is offered to the riders you have on shift, and the first to accept it gets it. You can also hand it to one of them by name. There is no automatic pick and no best match.
- Checking that your rider may lawfully ride is yours, not ours. We record what was typed in. We do not verify it, we do not check licences, registration or insurance, and you should not read somebody’s presence in the app as us having done so.
- What the rider sees is what the delivery needs. Once a drop is theirs they see the customer’s name, address and number, because nobody can deliver without them. Before that they see the shop, the area and what the drop is worth, and never the address, the name or the number.
Cash on delivery carries a risk you should understand before you switch it on. When someone collects cash for you, that money is with them until it is handed in. With a booked courier it sits with the courier and couriers generally disclaim responsibility for it. With a rider of your own it sits with your own member of staff until they hand it in at the counter and somebody confirms it, and that is between you and them. We record what the system was told: who took the drop, what was collected and when it was marked handed in. We cannot recover the money.
7. Your data, and your customers' data
Your data stays yours. We do not sell your shop or customer records, or train our own AI model on them. Some enabled features send limited information to service providers, including AI providers, as described in our privacy policy. Those providers handle it under their own terms and settings.
For your customers’ and staff’s information, you are the one responsible under the Data Privacy Act and we act on your instructions. That means it is on you to have told them what you collect and why, and to have a lawful reason for holding it. Our privacy policy sets out how we handle all of it, including what gets removed on request and what does not.
Your prices help build a shared library, and you can opt out. POSmates ships with a library of what small shops sell and what the ingredients and packaging cost, so nobody starts on an empty screen. When you enter or correct a price, you agree that we may keep that figure (the item name, the price, the unit, your city and region, and the date) and pool it with other shops’ to keep that library accurate and to publish typical prices by area.
Three limits on that, and they are commitments, not intentions. It covers commercial figures only: never your customers’ records, your staff records, or your individual sales. Nothing published is ever traceable to your shop, and no figure is shown at all until at least three different shops in an area have entered one. And you can tell us to stop at any time by emailing us, after which nothing you enter is collected for it, while you keep the full use of the library. The detail is in our privacy policy.
You can export your data while your account is open. Do it before you close the account, because afterwards we cannot recover it.
8. What we do not promise
We work hard to keep POSmates running and we are not going to pretend it will never be down. There is no guaranteed uptime figure on the free plan. Maintenance happens, and third parties we depend on have outages of their own.
The service is provided as it is. We do not warrant that it will be uninterrupted, error-free, or fit for a purpose we have not agreed with you in writing.
Keep this in mind when you rely on it. If your business cannot survive an hour without a till, have a way to take money on paper. That is true of every system, not just ours, and an honest terms page should say so.
9. Liability
Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not let us limit. Philippine consumer protection rights are not affected by this section.
To the extent the law allows, we are not liable for indirect loss, such as lost profits or goodwill, that was not reasonably foreseeable when you accepted these terms. For a paid plan, our total liability for claims relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. For a free plan, any liability is determined under applicable law. This section does not limit remedies the law gives you that cannot be excluded by contract.
10. Ending this
You can leave whenever you like. Cancel in the app or write to mategroupph@gmail.com. Export your data first.
We can suspend or close an account if it is being used to break the law, to harm other users or the service, or if a payment stays unpaid after we have asked. Except where the law or the severity of the problem stops us, we will warn you first and give you a chance to put it right.
After an account closes we delete its data as described in the privacy policy, other than what we are required to keep.
11. Changes, and the law that applies
We may change these terms. Where a change materially affects you we will tell you in the app or by email at least 30 days beforehand, and continuing to use POSmates after it takes effect means you accept it. If you do not, you can cancel.
These terms are governed by the laws of the Republic of the Philippines. This does not remove mandatory consumer or privacy rights that apply to you. If a court finds any part of this unenforceable, the rest still stands.
